SOFTWARE LICENSE<\/strong><\/h2>\n

This Software License Agreement (\u201c<\/span>Agreement<\/span><\/i>\u201d) is entered into between the <\/span>User<\/span><\/b> and <\/span>SCS Concept S.r.l.<\/span><\/b> (Tax Code \u2013 VAT no. 06388790963) with registered office in Cormano (MI), via Po n. 77<\/span><\/span> (\u201c<\/span>Company<\/span><\/i>\u201d).\u00a0<\/span>\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

This Agreement authorizes the User to use the Company\u2019s software (\u201c<\/span>Software<\/span><\/i>\u201d) according to the terms and conditions set forth below. This Agreement concerns the User\u2019s rights to use the Software and not the transfer and\/or sale of the Software; therefore, the Company will remain the sole owner of the copy of the Software and of the Intellectual Property (\u201c<\/span>IP<\/span><\/i>\u201d) rights related to the Software licensed to the User.<\/span>\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

The User undertakes to read this Agreement carefully before installing, downloading or using the Software. By installing, downloading and\/or using the Software, the User accepts the terms and conditions of this Agreement.<\/span> Failing to accept all the terms and conditions of this Agreement, the User must immediately cancel the installation or download, or destroy or return the Software and any accompanying documentation to the Company<\/span>.<\/span>\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

PLEASE NOTE:<\/span><\/b> USE OF THE SOFTWARE IS SUBJECT TO THE TERMS AND CONDITIONS SET FORTH BELOW. INSTALLATION OR USE OF THE SOFTWARE IMPLIES ACCEPTANCE OF THE TERMS OF THIS AGREEMENT. FAILING TO ACCEPT THE TERMS OF THE AGREEMENT, THE USER WILL NOT BE AUTHORIZED TO USE THE SOFTWARE.<\/span>\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

The Software, including all images, photographs, icons and text embedded in the Software, is the property of the Company and is protected by national and international copyright and IP rights laws, as well as international treaty provisions. Except as expressly licensed to the User under this Agreement, all rights are reserved by the Company.\u00a0<\/span>\u00a0<\/span><\/p>\n

\u00a0<\/span><\/p>\n

1. SOFTWARE<\/h4>\n

For purposes of this Agreement, \u201c<\/span>Software<\/span><\/i>\u201d means all software programs distributed, published or otherwise made available by the Company, including, but not limited to, computer software which can be downloaded\/installed and software or services accessed through a browser or other online communication methods.\u00a0<\/span>\u00a0<\/span><\/p>\n

2. LICENSE GRANT<\/h4>\n

The Company grants the User, in return for payment, non-exclusive and non-transferable rights to use the Software of which the aforementioned is the legitimate owner, where \u201c<\/span>use<\/span><\/i>\u201d in this Agreement means the storage, loading, installation or execution of the Software.\u00a0<\/span>\u00a0<\/span><\/p>\n

The license to use the Software under this Agreement does not include the right to obtain the Software in source code form, nor to obtain the logic or design documentation.<\/span>\u00a0<\/span><\/p>\n

Use of the Software, including during the free use period (if any), is subject to the rights and obligations set out in clauses 3 and 4 below.<\/span>\u00a0<\/span><\/p>\n

3. USER RIGHTS<\/h4>\n

If the User has purchased a single license, they may install the Software on the local hard disk or other permanent storage media of only one computer or terminal.\u00a0<\/span>\u00a0<\/span><\/p>\n

If the User has purchased multiple licenses or a limited-time subscription, they may install the Software on the local hard drive or other storage media of a number of computers equal to the number of licenses purchased and\/or for the duration of the subscription purchased. The number of licenses purchased equals the maximum number of computers or terminals on which the Software can be used simultaneously.<\/span>\u00a0<\/span><\/p>\n

4. USER OBLIGATIONS<\/h4>\n
    \n
  1. The User may not modify the Software or disable any licensing or control features of the Software.<\/span><\/li>\n
  2. The User may not copy, in whole or in part, the Software or any texts accompanying the Software. The User will be allowed to make a backup copy of the Software only if such copy is necessary for the use of the Software itself.<\/span><\/li>\n
  3. The User will not be authorized, either directly and\/or indirectly, to sell, license, rent, lease, distribute, market or lend the Software or documentation related thereto.\u00a0<\/span><\/li>\n
  4. The User will not be authorized to decode, reverse engineer, decompile, disassemble, adapt, reproduce or otherwise attempt to discover the source code of the Software (unless this restriction is expressly prohibited by law) or create derivative work of the Software and\/or based on the Software, in whole or in part.<\/span><\/li>\n
  5. The User may not remove, alter, disable, or circumvent any copyright, trademark, or other proprietary notices or labels reported on or contained in the Software.\u00a0<\/span><\/li>\n
  6. The User agrees to use the Software only in a manner that complies with all relevant enforceable laws, including, but not limited to, applicable restrictions regarding copyright and other intellectual property rights.<\/span><\/li>\n
  7. The User agrees that the functionality of the Software may vary from device to device and that some or all features of the Software may not work on particular devices. The Company is not responsible for listing the supported functions and\/or features.<\/span><\/li>\n
  8. The User agrees that the Company is not responsible for any Internet charges related to use of the Software.\u00a0<\/span><\/li>\n
  9. i.<\/span> The User agrees that the Company may collect information regarding the use of the Software if required for reporting and billing purposes, as well as to collect anonymous data about the User to enable debugging and further product development. The use of such data will be governed by the data protection rules reported below.\u00a0<\/span><\/li>\n<\/ol>\n

    5. INTELLECTUAL PROPERTY<\/h4>\n

    The Software subject to this Agreement is, and remains, the property of the Company.<\/span>\u00a0<\/span><\/p>\n

    Any changes and\/or implementations, even if made at the request of the User, remain the property of the Company.<\/span>\u00a0<\/span><\/p>\n

    All rights, including intellectual property rights, concerning the Software (including, but not limited to, any texts, graphics, music or audio, all informational messages or articles, diagrams, concepts, videos, audiovisual effects, domain names and any other elements that are part of the Product either individually or in combination, extraction of a copy thereof, as well as the rights to concepts, ideas, know-how or techniques related to the operation of the Software) are the exclusive property of the Company.<\/span>\u00a0<\/span><\/p>\n

    Unless where expressly provided in this Agreement, all rights not granted to the User under this Agreement are reserved to the Company. This License does not confer any title or ownership in the Software and should not be construed as a free sale and\/or transfer of any rights in the Software.<\/span>\u00a0<\/span><\/p>\n

    The User License will not grant the User any rights to the original source code. All techniques, algorithms and procedures contained in the Software and in the related documentation are information protected by copyright and are the property of the Company. Therefore, they may not be used in any way by the User for purposes other than those specified in this Agreement.<\/span>\u00a0<\/span><\/p>\n

    6. ASSISTANCE, MAINTENANCE AND TECHNICAL SUPPORT<\/h4>\n

    The assistance and maintenance of the Software are managed directly by the Company or by persons authorized by the aforementioned.<\/span>\u00a0<\/span><\/p>\n

    The parties refer to separate agreements governing the assistance and maintenance activities of the Software covered by this Agreement.<\/span>\u00a0<\/span><\/p>\n

    After the one-year warranty period for Software malfunctions referred to in Article 7 below has expired, the Company has no obligation to provide technical support to the User, unless separately agreed upon in writing between the User and the Company.<\/span>\u00a0<\/span><\/p>\n

    7. WARRANTY AND LIABILITY<\/h4>\n

    The Company guarantees that the Software has been developed to the highest standards and that at the time of installation and loading it will be in perfect operating conditions. This warranty is subject to the current state of the Software used by the workstation on which the program is installed according to the technical compatibility of the Software itself. Furthermore, the warranty provided by the Company is subject to the correct functioning of the machines and the related system program used by the User or its personnel, as well as to the correct use of the system by the aforementioned.\u00a0<\/span>\u00a0<\/span><\/p>\n

    The Company undertakes to take steps and make the necessary corrections in the event of any malfunctions for a period of one year from the date of installation at the User\u2019s site, only on condition that such malfunctions are not a consequence of failure to comply with the rules laid down in the user documentation or incorrect use of the Software by the User.\u00a0<\/span>\u00a0<\/span><\/p>\n

    The Company may not in any way be held liable for any malfunctions and\/or damages caused by the use of the Software covered by this agreement in the event of:\u00a0<\/span>\u00a0<\/span><\/p>\n

    a) tampering or interventions that compromise the correct functioning of the Software carried out by the User, the User\u2019s personnel or third parties not authorized by the Company<\/span>\u037e<\/span><\/p>\n

    b) incorrect use of the Software by the User or by operators or third parties authorized by the User<\/span>\u037e<\/span><\/p>\n

    c) irregular functioning of hardware or software used by the User in the case that the maintenance is not performed directly by the Company<\/span>\u037e<\/span><\/p>\n

    d) use of hardware or software essential for developing and using the software which is not supplied and\/or recommended by the Company and lacking the necessary approvals and\/or licenses<\/span> \u037e<\/span><\/p>\n

    e) total or partial interruption of the local access service or call termination provided by the telecommunications operator and\/or the Internet network<\/span> \u037e<\/span><\/p>\n

    f) failure to comply, non-fulfilment or violations of the law by the User.\u00a0<\/span><\/p>\n

    It is also understood that any modifications made directly by the User to the Software will involve immediate termination of any warranty by the Company.<\/span>\u00a0<\/span><\/p>\n

    The Company guarantees the User against all claims by third parties regarding alleged copyrights on the Software referred to in this agreement.<\/span>\u00a0<\/span><\/p>\n

    The Company may not be held liable for any type of damage to the Software resulting from unexpected events or force majeure and will not provide any guarantee for them, nor will the aforementioned be liable for indirect damages to things or people caused by the use of the Software by the User.<\/span>\u00a0<\/span><\/p>\n

    The User will be responsible for carrying out tasks assigned to them as far as regards:<\/span>\u00a0<\/span><\/p>\n
